- advising on the choice of the organizational and legal form of business activity, providing support in establishing a legal entity;
- drafting of founding documents, regulations on the company’s governing bodies, draft decisions of the company’s governing bodies, as well as legal analysis of existing regulations and documents;
- legal support in making changes to the Unified State Register of Legal Entities – changes to founding documents, changes in the location of a legal entity, director, sale and purchase, donation of corporate rights;
- support in confirming information about the ultimate beneficial owners of a legal entity;
- advising on the dismissal of the company’s governing bodies at the initiative of the founders (participants);
- preparation and holding of meetings of governing bodies of business entities and representation of the client’s interests during them;
- reorganization of all types of enterprises and business entities (spin-off, division, transformation of legal entities, etc.), amendments to founding documents and information contained in the Unified State Register;
- providing advice on the implementation of legal organizational and legal actions to minimize the risks of raider attacks;
- providing advise on corporate law matters (issues related to participation in a legal entity, increase/decrease of the authorized capital, etc;)
- representation of clients’ interests in liquidation of legal entities and all liquidation-related procedures;
- representation of clients in courts in case of corporate disputes.
